Article Four: General Rules
Standing or temporary committees may be appointed by the Executive Council (EC) from time to time, and the Executive Council may, from time to time, invest such committees with such powers as it may see fit, subject to such conditions as may be prescribed by such Executive Council.
The Executive Council may appoint other officers and agents as it shall deem necessary or expedient, which shall hold their offices for such terms, and shall exercise such powers and perform such duties as shall be determined from time to time by the Executive Council.
The powers herein conferred upon the officers of the SAMC MFLWC are subject to the condition that the Executive Council must approve all deeds, leases, conveyances, mortgages, and all other contracts, other than contracts in the usual course of routine business, in order to be binding on the SAMC MFLWC .
At least once per fiscal year the books, records, accounts and affairs of the SAMC MFLWC shall be subjected to a thorough and complete examination and audit, and the auditor shall file their report directly with the Executive Council. Such audit will meet the requirements of applicable Army regulations. The Executive Council may require additional audits whenever deemed advisable.
The powers herein conferred upon the officers of the SAMC MFLWC are further subject to the condition that no draft, lease, promissory note, deed, mortgage, contract, security deed, loan deed, or trust deed shall be binding upon the SAMC MFLWC, unless executed in the corporate name by the President and countersigned or attested by the Secretary or Treasurer. In the event that any of said officials is ill, absent, or unavailable for any reason, the Executive Council may designate another person to execute such instruments.
The members of the EC shall receive no compensation for their services as such.
The members of the Executive Council are allowed one vote each. A motion may be adopted by the board upon a majority vote of the members present, unless otherwise specified in the By-Laws.
